- Scope
These General Terms and Conditions (GTC) apply to all inquiries, offers, and contracts between xyz (hereinafter referred to as the „Provider“) and entrepreneurs within the meaning of § 14 BGB (hereinafter referred to as the „Customer“). Consumers within the meaning of § 13 BGB are excluded from using the offer.
The GTC apply to the sale and delivery of products presented on the website. - Product Presentation and Conclusion of Contract
The presentation of products on the website does not constitute a binding offer but an invitation to submit an offer.
A contract is concluded only through the written acceptance of the offer by the Customer and confirmation by the Provider. All offers by the Provider are non-binding and subject to change unless expressly stated as binding. - Prices and Payment Terms
Prices, payment modalities, and any discounts or tiered pricing are determined individually based on the customer’s inquiry and the delivery country and communicated to the customer in writing in the offer.
All prices are, unless otherwise stated, quoted in euros net plus the applicable statutory VAT as well as any shipping and packaging costs.
Unless otherwise agreed, invoices are due for payment immediately upon receipt without any deduction. - Delivery and Shipping
Delivery conditions, delivery times, and shipping costs are individually regulated in the offer. Delivery is made exclusively to companies within the country and the European Union (EU).
Unless otherwise agreed, shipping is at the risk and expense of the seller up to the named place of delivery. - Retention of Title
The delivered goods remain the property of the Provider until full payment of all claims arising from the business relationship. - Notification of Defects and Warranty
Obvious defects must be reported by the Customer immediately, but no later than within 7 days after receipt of the goods, in writing.
The statutory warranty rights for entrepreneurs (§§ 377, 378 HGB) apply unless otherwise agreed in individual cases. - Liability
The Provider is fully liable for intent and gross negligence. In cases of simple negligence, the Provider is only liable for the breach of essential contractual obligations (cardinal obligations), limited to the typical, foreseeable contractual damage.
Further liability is excluded. Liability under the Product Liability Act remains unaffected. - Export and Import Regulations
The Customer is responsible for compliance with all applicable legal regulations and customs provisions for importation in the destination country. Export restrictions according to EU law and German foreign trade law must be observed. - Confidentiality
The contracting parties undertake to treat all information obtained in the course of the business relationship confidentially and not to disclose it to third parties. - Jurisdiction and Applicable Law
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction for all disputes is – to the extent legally permissible – the registered office of the Provider. - Final Provisions
Should individual provisions of these GTC be wholly or partially invalid or become invalid, the validity of the remaining provisions shall remain unaffected.
